Primary Focus & Experience


Jacek “Jack” Pawlicki’s practice concentrates on commercial real estate transactions, particularly leasing, purchase and sales, financings and development. These transactions involve office, retail, industrial, mixed-use and raw land projects. Jacek negotiates purchase and sale agreements for a variety of projects, as well as complex retail, office, medical, industrial and ground leases. In addition, Jacek is also experienced in general business and commercial law.

Jacek graduated with High Honors from the Honors Program at the University of Michigan in 1991. He also received his M.S. in Atomic and Molecular Physics from Ohio State University in 1994, and his J.D. degree cum laude from the University of Notre Dame in 1997, which included the Concannon Programme in London, England.

Jacek is a member of the King County Bar Association, Washington State Bar Association, the American Bar Association, and is also a member of the real property sections of those bar associations. He was named to Rising Stars by Washington Law and Politics magazine for 2003 and 2004 and has been recognized by Best Lawyers for his work in Land Use and Zoning Law (2024 – 2025) and Real Estate Law (2024 – 2025).

Representative Transactions: Leasing Transaction


  • Represented a historic Seattle family as general counsel in connection with the operations of the family corporation, which representation included the negotiation of a long-term office and industrial lease with a major maritime tenant requiring complex, bespoke lease provisions.
  • Represented an institutional owner in the negotiation of several build-to-suit retail leases with national and regional retail tenants of a new shopping center in Bellevue, Washington, which negotiations required the resolution of numerous conflicts arising from the reasonable needs of the owner versus the expectations of national tenants resistant to revisions of their respective national lease templates.
  • Represented institutional owners of Seattle and Bellevue office buildings, office parks, shopping centers and industrial parks in the negotiation of office, retail and industrial leases of varying sophistication, which work included the reviewing and updating of leases to comply with Washington-specific laws and new statutory requirements, identifying unaddressed risks and improving provisions to capture missed operating costs.
  • Represented several closely held family clients in the administration and leasing of real property holdings, including providing strategies to maximize asset value, minimize legal risk and increase rental income.
  • Represented a New York client in the negotiation and leasing of a commercial space within a multi-use tower to a national gym requiring a complex and detailed work letter and related leased provisions to ameliorate potential noise issues to the residents of the tower.

Representative Transactions: Purchase and Sale Transactions and Other Real Estate-Related Transactions


  • Represented a New York client in the negotiation of the sale of a large Tier 2 marijuana processing industrial building. Worked with the title company, surveyor, environmental consultants, existing tenants and other parties to resolve numerous title, environmental and lease-related pre-closing issues.
  • Regularly represented sellers and buyers using custom-made attorney-drafted purchase and sale agreements or broker-standard purchase and sale agreements in all aspects of the transactions, including due diligence review, title review, closing document preparation and resolution of pre-closing issues, including experience with both so-called “New York-style” and escrow closings, and working with counsel from AmLaw100 legal firms to sole practitioners.
  • Represented regional property management firms in the negotiation of property management agreements and the administration and management of their serviced properties, including preparing template service agreements and negotiating proposed revisions by service providers, in an efficient, effective and timely manner.
  • Represented numerous developers in the drafting and negotiation of easements, restrictive covenants and related declarations imposing real property servitudes.

Representative Transactions: Financing Transactions


  • Represented numerous borrowers in the issuance of local counsel opinions in connection with sophisticated multi-state credit facilities for office tower and apartment building acquisitions and refinancings.
  • Represented a borrower in the refinancing of a senior apartment building with ground floor retail involving separate but inter-connected new term and mezzanine loan transactions concurrently with the defeasance and redemption of the underlying bonds supporting the existing financing, which required, among other things, the issuance of a local counsel legal opinion in support of the defeasance of the bonds and the negotiation of the assignment of membership interests held by special investors required by the bond indenture.
  • Represented a local lender in connection with the preparation and negotiation of loan documents for credit facilities extended to owners of the condominiums for the purpose of effecting capital improvements and repairs, which work required a careful analysis of the condominium’s governance documents to support the proper creation of perfected security interests in special assessments by the condominium association.
